Important Notice
These Terms govern your purchase and use of Inteleg PX digital services on a credit ("Credits") pay-per-use basis. By creating an account, purchasing Credits on the inteleg.io e-commerce website, or using any Inteleg PX service, you accept these Terms and the site policies listed below. If you do not agree, do not use the services.

1) Scope and Precedence
a) These Terms apply to Inteleg PX digital services provided through inteleg.io and future PX services.
b) In the event of conflict, the order of precedence is: (i) these Inteleg PX Terms, (ii) General Terms and Conditions, (iii) Terms and Conditions of Use, (iv) other site policies (Privacy and Cookie always govern personal data processing).
2) Accounts, Eligibility, and Right to Refuse Service
a) You must provide accurate registration information, keep credentials confidential, and ensure all users under your account comply with these Terms. You are responsible for all activity under your account.
b) You represent you are not a restricted party and will comply with applicable export control, sanctions, and anti-corruption laws.
c) We reserve the right, at our sole discretion, to refuse, suspend, or discontinue Inteleg PX services to any individual or entity at any time, without obligation to provide a reason, where permitted by law.
4) Credit Consumption and Metering
a) Services consume Credits according to the pricing and metering shown at the point of use (e.g., per PRF run, per compute hour, per data volume processed, per prediction batch, or per API call).
b) You authorize us to deduct Credits as services are invoked. If your balance is insufficient, requests may be rejected until you top up.
c) We may apply fair-use protections (rate limits, job concurrency caps) to preserve service stability.
5) Credit Validity and Expiry
a) Unless a different period is stated at checkout or on your invoice, Credits expire 24 months from purchase; expiry dates appear in your account.
b) Expired Credits cannot be redeemed and will be removed from your balance. We may, at our discretion, extend validity during incidents or migrations.
6) Pricing, Taxes, Invoices, and Refunds
a) Credit prices and service consumption rates are shown before purchase and may change prospectively; changes do not affect Credits already purchased.
b) Prices exclude taxes; you are responsible for VAT/GST/sales and other applicable taxes. Provide accurate tax details for invoicing.
c) Payment occurs at checkout via the secure payment methods described on inteleg.io; you receive an electronic receipt/invoice.
d) Credits are non-refundable except where required by law or if we materially fail to deliver a paid service and cannot remedy within a reasonable time.
e) Unwarranted chargebacks or reversals may result in account suspension and reversal of granted Credits.
7) Data Upload, Processing, Confidentiality, and Deletion
a) To use Inteleg PX services, you may need to upload data to Nova Fabrica servers for processing; such data may be confidential.
b) Processing purpose limitation: we process uploaded data only to deliver the requested service you invoke; we do not use your data for any other purpose.
c) No retention or secondary analysis: we do not store, retain, or analyze your uploaded data beyond the processing task; we do not train models on, profile, or benchmark using your content data.
d) Automatic deletion: your uploaded data is automatically and irreversibly deleted immediately after processing is complete.
e) Operational metadata: we may retain minimal non-content operational metadata (timestamps, job IDs, status codes, performance metrics, amount of Credits consumed) for billing, auditing, security, and support, handled per our Privacy Policy.
f) Backups: we do not create backups of your uploaded content data. You are solely responsible for maintaining your own backup before upload. Once processing completes and deletion occurs, recovery is not possible.
g) Access controls: no human access to your content data occurs unless strictly necessary for troubleshooting, security, compliance or joint research, and then only under confidentiality obligations and least-privilege controls.
h) Security: we implement industry-standard technical and organizational measures to protect your data during upload, processing, and deletion (including encryption in transit, access controls, and secure erase of temporary storage).
8) Customer Data, Outputs, and Intellectual Property
a) Customer Data means the data you upload or connect to the services (e.g., I2BPEM channel/scope logs, user log files, configuration tables, model parameters).
b) Output means results produced by the services from your Customer Data (e.g., PRF models, predictions, tables, visuals). As between you and us, you own your Output, subject to these Terms and any third-party rights.
c) Service IP means the platform, software, algorithms, models, documentation, and improvements; we and our licensors own all rights in the Service IP.
d) License to process: you grant us a worldwide, non-exclusive license to host, process, transform, and display Customer Data and Output solely to provide, secure, support, and improve the services.
e) Quality and safety improvements: we may use de-identified and aggregated signals derived from operational metadata (not your content) to improve service quality, benchmarking, reliability, and safety, in compliance with applicable law.
9) Content Responsibilities and Compliance
a) You are responsible for the accuracy, completeness, and lawful sourcing of Customer Data and for obtaining necessary rights and permissions.
b) Do not upload unnecessary personal data or third-party confidential information; do not submit special category personal data without a lawful basis and explicit permission.
c) You are solely responsible for compliance with laws, regulations, standards, and export controls applicable to your use of the services and Outputs, including sector-specific requirements.
10) Privacy, Cookies, and GDPR
a) Our Privacy Policy and Cookie Policy apply to personal data handling and cookies/tracking on inteleg.io.
b) Where we process personal data in Customer Data, you act as controller and we act as processor under the GDPR; the Data Processing Addendum in Annex B applies.
c) We may process account, billing, and support information as an independent controller as described in our Privacy Policy.
d) International transfers may occur using appropriate safeguards (such as EU Standard Contractual Clauses and supplementary measures, where required).
11) Acceptable Use
a) You must not misuse the services, probe or bypass security, overload infrastructure, upload malware or unlawful content, reverse engineer, resell access without consent, or use the services in high-risk systems where failure could lead to injury or severe environmental damage.
b) The full Acceptable Use Policy appears in Annex A.
12) Security Incidents
We will notify you without undue delay of any confirmed personal data breach affecting Customer Data and will cooperate as required by law to help you meet any applicable notification obligations.
13) Outputs and Professional Advice Disclaimers
a) Outputs may be incomplete, inaccurate, or unsuitable for your specific use; you are solely responsible for validating Outputs and for any decisions made in reliance on them.
b) The services and Outputs do not constitute engineering, safety, legal, financial, or other professional advice. You must implement independent validation, professional review where appropriate, and adequate safeguards (including interlocks, limits, and manual overrides).
14) Service Availability and Changes
a) We aim to provide continuous access but do not guarantee uninterrupted availability; planned maintenance is typically scheduled outside business hours with reasonable notice.
b) We may modify, improve, or discontinue features to enhance performance, security, or compliance. If we discontinue a feature that materially affects prepaid Credits, we will offer a reasonable alternative or a Credit refund for the unused affected portion.
15) Support and Service Levels
a) Paid use of Credits includes standard support and availability targets described in Annex C (SLA). Trials, previews, and experimental features are excluded.
b) Support hours and contact details are specified in Annex C.
16) Suspension
a) We may suspend access to protect security, integrity, or availability; for violations of these Terms or the Acceptable Use Policy; for legal compliance; or following failed or reversed payments.
b) Suspension will be limited to what is reasonably necessary; we will restore access promptly once the issue is resolved.
17) Term and Termination
a) These Terms remain in effect while you maintain an account or hold unexpired Credits.
b) Either party may terminate for material breach if the breach is not cured within 30 days of notice (10 days for payment issues).
c) Upon termination, you must cease using the services. On request and subject to law, we may make remaining Outputs available for export for 30 days where technically feasible; Customer Data cannot be exported because it is deleted automatically after processing.
18) Warranties and Disclaimers
a) Each party warrants it has the authority to enter into these Terms.
b) The services and Outputs are provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement, to the maximum extent permitted by law.
c) We do not warrant that the services or Outputs will be error-free, uninterrupted, or meet your requirements, or that defects will be corrected.
19) Limitation of Liability
a) Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption, even if advised of the possibility.
b) Aggregate liability cap: each party's total liability arising out of or related to these Terms is capped at the total amount you paid for Credits in the 12 months preceding the event giving rise to the claim.
c) Exclusions: the above limitations do not apply to your payment obligations, your breach of intellectual property restrictions or acceptable use, or liability that cannot be excluded by law.
d) Data loss disclaimer: because we delete uploaded content data immediately after processing, we are not responsible for data loss after processing; you must maintain your own backups before upload.
20) Indemnification
You will defend, indemnify, and hold us harmless from claims, damages, liabilities, costs, and expenses arising out of (i) your Customer Data; (ii) your use of the services or Outputs in violation of these Terms or law; (iii) your combination of the services with non-Inteleg products or services; or (iv) your failure to implement appropriate safeguards.
21) Confidentiality
Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these Terms. Exclusions apply to information that is public, independently developed, or rightfully obtained without confidentiality obligations. If compelled by law to disclose, the recipient will provide prompt notice (where lawful) and cooperate to seek protective measures.
22) Force Majeure
Neither party is liable for any delay or failure to perform due to events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, utility failures, internet or telecom failures, denial-of-service attacks, or government actions.
23) Export, Sanctions, and Anti-Corruption
You agree to comply with applicable export control, sanctions, and anti-corruption laws and to refrain from using the services or Outputs in or for the benefit of embargoed countries or restricted parties. You represent and warrant that neither you nor your beneficial owners are listed on any applicable restricted party lists.
24) Changes to Terms and Services
a) We may update these Terms by posting a revised version with notice on inteleg.io. Material adverse changes to paid features will take effect after notice; if you object, you may stop using the affected features and request a reasonable Credit refund for unused, affected Credits.
b) We may modify services to improve performance, security, or compliance.
25) Governing Law and Dispute Resolution
a) These Terms are governed by the laws of the Republic of Lithuania, excluding conflict-of-law rules; the parties submit to the exclusive jurisdiction of the courts of Vilnius, Lithuania.
b) The United Nations Convention on Contracts for the International Sale of Goods does not apply.
26) Notices
Legal notices must be sent to legal@inteleg.io. We may send notices to the email associated with your account and/or by posting on inteleg.io.
27) Miscellaneous
a) Entire agreement; order of precedence is set out in clause 1(b).
b) No waiver unless in writing; severability applies so unenforceable terms are replaced with enforceable terms that most closely reflect the original intent.
c) Assignment requires prior written consent (not unreasonably withheld), except either party may assign in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets.
d) No third-party beneficiaries.
Annex A — Acceptable Use Policy (Summary)
1) Security and integrity: do not probe, scan, bypass, or disrupt the services; do not overload infrastructure or introduce malware.
2) Content and data: do not upload illegal content; do not submit special category personal data or others' trade secrets without lawful basis and permissions.
3) Misuse and misrepresentation: do not use Outputs to claim guaranteed outcomes in safety-critical contexts; do not misrepresent Outputs as human-generated where disclosure is required by law or contract.
4) Intellectual property and usage restrictions: do not reverse engineer, decompile, or create derivative works; do not remove or obscure proprietary notices; do not resell or provide access to third parties without consent.
5) High-risk uses: do not use the services in life-support, nuclear, aviation, or other high-risk systems where failure could lead to injury or severe environmental damage.
Annex B — Data Processing Addendum (GDPR)
1) Roles: you are the controller of personal data in Customer Data; we are the processor.
2) Subject matter and duration: processing Customer Data to provide the services for the term of your account plus lawful retention of non-content operational metadata.
3) Nature and purpose: hosting, processing, analysis, transformation, modeling (including PRF), and support, limited to your invoked tasks.
4) Categories of personal data and data subjects: as determined by you; typically minimal (e.g., account/contact data). Avoid uploading personal data into logs unless necessary and lawful.
5) Processor obligations: process only on documented instructions; ensure personnel confidentiality; implement appropriate security (encryption in transit, access controls, secure deletion, logging, least privilege); maintain a list of sub-processors and provide notice of changes with a right to object on reasonable grounds; assist with data subject requests, DPIAs, and security obligations; notify without undue delay of a personal data breach affecting Customer Data; delete or return Customer Data after processing as set out above; for international transfers, use approved mechanisms (e.g., EU SCCs) with supplementary measures where required.
6) Customer obligations: provide lawful instructions; ensure a legal basis; avoid unnecessary personal data; configure retention and access consistent with your privacy policies; promptly respond to data subject requests applicable to your role as controller.
Annex C — Service Level Agreement (Credit-Based)
1) Coverage: paid usage via Credits (excluding trials, previews, and experimental features).
2) Availability target: 99.5% monthly uptime for core API and web application, excluding scheduled maintenance (with reasonable advance notice), force majeure, third-party failures outside our control, and preview features.
3) Service credits (goodwill): if monthly uptime falls below target, we may grant Credits to your wallet as the sole remedy for availability issues related to the affected service: 99.0%--99.5%: 5% of the value of Credits consumed in the affected service during the month; 98.0%--99.0%: 10%; below 98.0%: 25%. Requests must be submitted within 30 days of the incident month with supporting logs.
4) Support: standard support on business days 09:00--17:00 EET/EEST via support@inteleg.io. Target initial response within 1 business day where feasible.
5) Data export: self-service export of Outputs (where technically available) or upon request in standard formats. Customer Data cannot be exported after processing because it is deleted immediately.
Annex D — Service-Specific Terms
1) Data inputs: Inteleg PX services may ingest I2BPEM channel/scope logs and user log files; you are responsible for correct mapping (device serial numbers, channel/sensor IDs, units).
2) Metering: Credits may be consumed per training run, per dataset size, per compute hour, and/or per prediction batch, as displayed at the point of use.
3) Modeling and safety: Inteleg PX created models generate process response functions from your data. Outputs are advisory; you must validate assumptions and extrapolations and implement independent safeguards (interlocks, limits, manual overrides) before production use.
4) Export controls: if Inteleg PX configurations or Outputs relate to controlled technologies, you are responsible for compliance with export and sanctions laws.
