1.1. Nova Fabrica Ltd. ("Nova Fabrica", "Company") is a legal entity established and operating by laws of the Republic of Lithuania (registration No. 302945110), having its principal place of business at Laisvės g. 44, LT-30106 Ignalina, Republic of Lithuania.

1.2. These Terms of Use (the "Terms of Use"), together with the relevant Privacy Policy (the "Privacy Policy"), apply to your access and use of https://inteleg.io/ (the "Website"), including all software, data, reports, text, images, sounds, video, and content made available through the Website (collectively, the "Content").

1.3. Inteleg.io is a Business-to-Business ("B2B") e-commerce platform. This platform is exclusively designed for businesses; all transactions are conducted within the B2B context. You agree to comply with and be bound by these terms by accessing or using our platform.

1.4. You acknowledge that products made by the Company are unique and made to order, and no returns are accepted except for warranty cases. Please see our Delivery Policy and General Terms and Conditions for more detailed delivery information.

1.5. These Terms of Use shall apply in all cases when you ("User", "Buyer", or "You" or "Your") access and use the Website. By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. 

1.6. These Terms of Use are subject to change occasionally. Nova Fabrica will post the changes to these Terms of Use on the Website, indicating the date these terms were last revised at the top of this page. If You continue to use the Website and Content after the date any such changes become effective, it is considered as your acceptance of the new or revised Terms of Use.

1.7. We reserve the right to suspend or terminate your use of the Website or your access to the Website, with or without notice to you, if you breach these Terms of Use.

Intellectual Property

2.1. Nova Fabrica owns all rights, title and interest in and to the Content published on this Website.

2.2. Subject to these Terms of Use, the Company grants you a non-transferable, non-exclusive, revocable licence (without the right to sublicense) to use the Website solely for lawful purposes. 

2.3. By using this website, no licence is granted to You for using the intellectual property of Nova Fabrica.

2.4. You are not allowed to copy, modify, publicly perform, display, sell, reproduce, distribute, or create derivative works of the Website and Content.

2.5. Nova Fabrica owns and retains its rights in and to all logos, company names, marks, trademarks, copyrights, trade secrets, know-how, patents and patent applications that are used or embodied in or otherwise related to the Website and Content. Nova Fabrica grants You no rights or licences (implied, by estoppel, or otherwise) whatsoever to you under these Terms of Use.

Conduct

3.1. Users engaging in B2B transactions on this platform must maintain professional conduct. Any misuse or inappropriate behaviour that goes against business norms may result in the termination of business privileges.

3.2. You agree not to (a) harvest or collect email addresses or other contact information from the Website by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications; (b) use the Webite in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Website; (c)  upload, post, transmit, share, store or otherwise make available any content that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable; (d) impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity; (e) upload, post, transmit, share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation; (f) upload, post, transmit, share, store on the Website any private information such as Social Security numbers and credit card numbers; (g) solicit passwords or personally identifying information for commercial or unlawful purposes; (h) upload, post, transmit, share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (i) intimidate or harass another; (j) upload, post, transmit, share, store or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law; (k) use or attempt to use another’s account, service or system without authorization from Nova Fabrica, or create a false identity on the Website; (l) upload, post, transmit, share, store or otherwise make available content which may expose Nova Fabrica or its users to any harm or liability of any type; (m) post anything that exploits children or minors or that depicts cruelty to animals.

4.1. The Website may contain links to third-party websites, services, and other resources (the "Third-Party Sites"). Please note that their presence does not mean that Nova Fabrica recommends them; we do not guarantee their safety. If you decide to leave the Website and access the Third-Party Sites, you do so at your own risk, and you should be aware that our terms and policies no longer govern. Nova Fabrica is not responsible for maintaining any materials referenced from Third-Party Sites and makes no warranties for Third-Party Sites. Nova Fabrica assumes no obligations in the event of any damage or loss, or any other impact, directly or indirectly, resulting from using any content available on or through any such Third-Party Sites.

4.2. Company processes data on the legal grounds of fulfilling contractual obligations, particularly in commercial transactions. Given the business-centric nature of B2B transactions, data processing is imperative for executing a contract between the Company and business entities.

4.3. Regarding payment processing, the Company accepts payments through various methods, each adhering to stringent security measures. The company uses Wire Transfer, which entails the User initiating a money transfer through their bank using the payment instructions provided on our Advance or Final payment Invoice, PayPal and Paysera Prestashop modules. During transactions with PayPal and Paysera, users are redirected to their respective pages, where these payment processors employ their authentication methods.

4.4. It is important to note that neither of these payment processing methods involves utilising our site, ensuring that Your sensitive financial information remains within the secure banking environment. For more detailed information on payment processing, please see our Security Policy.

Privacy Policy

5.1. We respect your privacy and have established policies and procedures for collecting and using your personal information. Please check our Privacy Policy to be aware of how Nova Fabrica collects, uses and shares your personal information when You use the Website.

Notifications

6.1. All notifications by Nova Fabrica and You shall be made to the addresses specified by the parties. All correspondence, except for the claims and the settlement of other disputed issues, shall be exercised by email unless otherwise provided by law. Emails and documents provided by email shall have the power of a written document.

Applicable Law

7.1. These Terms of Use are governed and shall be interpreted following the law of the Republic of Lithuania.

Dispute Resolution

8.1. The Parties shall attempt to resolve any disputes arising during the performance of their obligations by way of negotiations. If the dispute is not settled by negotiation, it shall be resolved by the courts of the Republic of Lithuania in compliance with the legislation of the Republic of Lithuania.

Disclaimer of Warranties

9.1. THE WEBSITE AND CONTENT, AND ALL SERVER AND NETWORK COMPONENTS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITH ALL ERRORS AND DEFECTS AND WITHOUT ANY WARRANTIES OF ANY KIND, AND NOVA FABRICA EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND ANY REPRESENTATIONS OR WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. YOU ACKNOWLEDGE THAT NOVA FABRICA DOES NOT WARRANT THAT YOUR ACCESS OR USE OR BOTH OF THE WEBSITE AND CONTENT WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR  VIRUS-FREE, AND NOVA FABRICA DOES NOT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE WEBSITE AND CONTENT. NO INFORMATION, ADVICE OR SERVICES OBTAINED BY YOU FROM NOVA FABRICA OR THROUGH THE WEBSITE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OF USE, AND YOU SHOULD NOT RELY ON THE WEBSITE AND THE GENERAL CONTENT ALONE AS THE BASIS FOR YOUR BUSINESS DECISIONS.

12.1. Failure to exercise a right or to enforce or insist upon compliance with any provisions of these Terms of Use shall not constitute a waiver of any such right or provision or any other provisions of these Terms of Use.
